Locily Terms of Service

These Terms form a binding agreement between you and Locily ApS, CVR 46567722, Rødovre Port 11, 1. 5., 2610 Rødovre, Denmark ("Locily", "we", "us"). They apply to the Locily iOS app, locily.dk and related services. Our Privacy Policy, Payment, Ticket and Refund Terms and Community Guidelines form part of this agreement.

1. Eligibility and acceptance

You must be at least 16 and legally capable of entering this agreement. If mandatory law requires consent from a parent or guardian, you may use Locily only with that consent. Hosts may set higher lawful age limits. By creating an account, accepting these Terms in the app or using Locily after being notified of an update, you accept the applicable version. Mandatory consumer rights always prevail over conflicting wording.

2. Accounts and security

Provide accurate information, use the correct personal or company profile, keep credentials secure and promptly report unauthorized access. Supabase Auth is the canonical login identity; personal, company and admin profiles are separate account roles. You may not transfer, sell or share an account. Unique tags may remain unavailable after deletion where reasonably necessary to prevent impersonation, abuse or identifier conflicts.

3. What Locily provides

Locily provides event discovery, maps, profiles, groups, comments, attendance signals, voting, notifications, host tools, promotion and, when enabled, ticket checkout. Features, eligibility and geographic coverage may evolve. We may perform maintenance, apply rate limits and change non-material functionality. We will give reasonable notice where a change materially affects a paid service or your rights.

4. Events, hosts and public listings

Unless an event page expressly identifies Locily as organizer, the named host is the organizer and is responsible for the event, venue, permits, capacity, accessibility, safety, staffing, alcohol and age rules, accurate timing, pricing, taxes, cancellation and legally required remedies. A listing is not a Locily endorsement or guarantee.

Locily Discovery may curate factual event information from public organizer or venue sources. These listings must identify their source or provide a source/ticket link where relevant, but source notes need not appear in the public description. Organizers and rights holders may request correction or removal at info@locily.dk. Imported information can change; users should confirm material details with the organizer.

5. Your content and licence

You retain ownership of content you submit. You grant Locily a worldwide, non-exclusive, royalty-free licence to host, reproduce, format, display, distribute and technically adapt that content only to operate, secure, improve and market Locily and the event you chose to publish. The licence ends when the content is deleted, except for cached copies, lawful retention and content already shared by others. You warrant that you have the necessary rights, consents and permissions, including for images, personal data, trademarks and event information.

6. Acceptable use

Do not use Locily for unlawful events, fraud, impersonation, harassment, hate, threats, sexual exploitation, child sexual abuse material, grooming, doxxing, spam, malware, unauthorized access, scraping that burdens the service, fake accounts, manipulated votes or attendance, ticket abuse, copyright infringement, or publishing private information without a lawful basis. Do not bypass location, payment, moderation, access or group controls.

7. Groups, interactions and location signals

Open groups are discoverable; closed groups require the access method shown in the app. Group admins must use invitations, moderation and member data responsibly. Attendance and distance features may use device location and server-side check-in evidence. They indicate proximity, not identity, entry, continuous presence, consent or safety, and must not be used for emergency, employment or other high-impact decisions.

8. Company accounts, plans and promotion

Company access may require application, verification and payout onboarding. Apple-billed plans renew at the price and period Apple shows before purchase until cancelled in Apple subscription settings. Publishing limits and plan benefits are those shown before purchase. Event promotion provides prioritized placement for the selected eligible event and period. Paid placement is labelled. Promotion does not guarantee reach, notifications, attendance, revenue or any specific ranking because relevance, safety, availability and user settings still apply.

9. Tickets and payments

The separate Payment, Ticket and Refund Terms govern tickets, fees, refunds, organizer settlements, Apple purchases and disputes. Before a ticket purchase, Locily must show the event, ticket, quantity, seller/host, total price, fees and material restrictions. The named host is the ticket seller and contracting party unless checkout clearly identifies Locily as seller. Stripe processes card payments; Apple processes in-app company plans and digital promotion. A ticket or entitlement exists only after server-side verification.

10. Ranking, recommendations and notifications

Feed, map and notification order may consider time, distance, interests, follows, interactions, availability, safety, popularity and paid promotion. Paid placement is identified. These systems support discovery and do not make decisions producing legal or similarly significant effects. You can manage notification categories in the app and iOS settings.

11. Moderation, reports and appeals

We may investigate, limit visibility, remove content, disable features, preserve evidence, suspend or terminate accounts where reasonably necessary for safety, legal compliance, payment integrity or enforcement. Where required, we provide the affected user with a reason and a way to appeal. Report illegal or policy-violating content through the in-app report control or info@locily.dk, identifying the content, location, reason and supporting information. Appeals may be sent to info@locily.dk. Emergency matters should be reported to the relevant authorities first.

12. Suspension, deletion and surviving records

You may initiate account deletion in the app. Deleting Locily does not by itself cancel an Apple subscription. Deletion may be delayed where an open ticket, refund, dispute, payout, chargeback, investigation or legal hold must be resolved. Public access will be removed where appropriate while limited financial, security, ban-enforcement and legal records may be retained. See Account deletion and the Privacy Policy.

13. Third-party services

Locily depends on services including Apple, Supabase, Stripe, Netlify, mapping, identity providers and email delivery. Their terms may separately apply. Locily is not responsible for a third party's independent service, but this does not remove Locily's own obligations under applicable law.

14. Availability, warranties and liability

We provide Locily with reasonable care and skill but cannot guarantee uninterrupted availability, the conduct of users or hosts, or that every listing is complete and current. To the fullest extent permitted by law, Locily is not liable for indirect or unforeseeable loss, lost opportunity or third-party event conduct. Nothing excludes liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any warranty, remedy or consumer right that cannot lawfully be excluded. For business users only, aggregate liability arising from a paid digital service is limited to the amount paid for that service during the preceding 12 months, except where such limitation is prohibited.

15. Business responsibility

A business host must comply with consumer, marketing, tax, licensing, accessibility, safety and data-protection law. To the extent permitted by law, a business will compensate Locily for third-party claims caused by its unlawful event, misleading listing, infringement, tax failure or breach of these Terms. This clause does not apply to consumers acting outside a trade or profession.

16. Governing law and complaints

Danish law applies, without depriving EEA consumers of mandatory protections in their country of residence. Courts are determined by mandatory jurisdiction rules. Contact us first at info@locily.dk. Eligible Danish consumers may then use Mæglingsteamet for Forbrugerklager / Forbrugerklagenævnet via naevneneshus.dk. The former EU Online Dispute Resolution platform has closed and is not offered as a complaint route.

17. Changes and contact

We may update these Terms for legal, security, operational or product reasons. Material changes will receive reasonable notice and, where legally required, renewed acceptance. Contact Locily ApS at info@locily.dk, Rødovre Port 11, 1. 5., 2610 Rødovre, Denmark.
